01 Introduction
Welcome to ERPLax. These Terms & Conditions govern your access to and use of the ERPLax website, software, platform, applications, and related services.
By accessing or using ERPLax, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you should not use the platform.
02 Services Overview
ERPLax is a cloud-based ERP and CRM platform that provides business management tools, which may include modules such as sales, CRM, inventory, finance, HR, operations, reporting, and other related services.
ERPLax may offer services through subscription plans, custom implementation packages, one-time setup fees, recurring platform fees, or other commercial arrangements as agreed with the client.
03 Eligibility and Account Registration
To use ERPLax, you may be required to create an account and provide accurate, current, and complete information.
You agree that:
- The information you provide is true and complete
- You are authorized to create and use the account on behalf of yourself or your organization
- You are responsible for maintaining the confidentiality of login credentials
- You are responsible for all activities conducted under your account
ERPLax is not responsible for any loss or damage arising from unauthorized access caused by your failure to protect your account credentials.
04 User Responsibilities
You agree to use ERPLax only for lawful business purposes and in accordance with these Terms.
You are responsible for:
- Maintaining the security of your account credentials
- Ensuring your users use the platform appropriately
- Providing accurate data and lawful content
- Managing internal access permissions for your employees, staff, or representatives
- Reviewing outputs, reports, notifications, and business records before acting on them
You are solely responsible for all data entered into the system and all actions taken using your account.
05 Acceptable Use Policy
You agree not to:
- Use ERPLax for any unlawful, fraudulent, deceptive, or abusive purpose
- Attempt to gain unauthorized access to any system, account, server, or network
- Interfere with or disrupt the performance, integrity, or security of the platform
- Upload or transmit viruses, malware, ransomware, or other harmful code
- Reverse engineer, copy, scrape, reproduce, or exploit any part of the platform without written permission
- Use the service in a way that could damage ERPLax, its infrastructure, or other users
- Store, process, or distribute content that violates applicable law or third-party rights
ERPLax reserves the right to suspend or restrict access if any misuse, abuse, or suspicious activity is detected.
06 Data Ownership
All business data, records, files, customer information, and content uploaded or entered by the client into ERPLax remain the property of the client or the respective lawful owner.
ERPLax does not claim ownership of your business data. However, by using the platform, you grant ERPLax the limited right to host, process, transmit, back up, and use such data only to the extent necessary to provide, maintain, secure, improve, and support the services.
You are responsible for ensuring that you have the legal right to collect, upload, and use any data stored in ERPLax.
07 Data Processing and Privacy
Your use of ERPLax is also subject to the Privacy Policy.
You acknowledge and agree that ERPLax may process account information, usage information, and business data as required to:
- Deliver the platform and related services
- Provide technical support
- Improve performance, reliability, and security
- Comply with legal obligations
- Maintain backups and recovery systems
Where applicable, clients are responsible for obtaining necessary consent from their own users, customers, employees, or contacts whose data is entered into the platform.
08 Subscription, Fees, and Payments
Access to ERPLax may be subject to setup fees, subscription charges, recurring platform fees, support charges, implementation fees, customization fees, or any other charges agreed between ERPLax and the client.
You agree that:
- All fees must be paid on time as per the agreed proposal, invoice, contract, or pricing plan
- Delayed or unpaid invoices may result in suspension, restriction, or termination of services
- Taxes, duties, levies, and government charges, where applicable, are payable by the client unless expressly stated otherwise
- Pricing for future renewals or future service periods may be revised with prior notice
- Additional features, integrations, storage, communication usage, third-party services, or custom development may be charged separately
Unless otherwise agreed in writing, all fees paid are non-refundable.
09 Renewals and Cancellation
For recurring services, subscriptions may renew automatically or continue as per the agreed billing cycle unless terminated in accordance with the applicable agreement.
A client may request cancellation of services by giving prior written notice. Cancellation does not automatically entitle the client to a refund for any amount already billed, paid, or committed.
ERPLax reserves the right to suspend or terminate services in case of:
- Non-payment
- Breach of these Terms
- Security risks
- Misuse of the platform
- Conduct that may affect the platform or other users
10 Refund Policy
Unless otherwise expressly agreed in writing:
- Setup fees, onboarding fees, implementation fees, customization fees, and development charges are non-refundable
- Subscription or recurring charges already billed are non-refundable
- No refund will be provided for partial usage, non-usage, or early cancellation of service
- Refunds, if approved in exceptional circumstances, will be at the sole discretion of ERPLax
Any third-party costs already incurred on behalf of the client are also non-refundable.
11 Service Availability
ERPLax aims to provide reliable and continuous access to the platform. However, uninterrupted or error-free operation is not guaranteed.
Service may be affected by:
- Scheduled maintenance
- Emergency maintenance
- Infrastructure failures
- Internet service disruptions
- Third-party service outages
- Force majeure events
- Security incidents or preventive actions
ERPLax may temporarily suspend access for maintenance, upgrades, security protection, or technical reasons without liability for any resulting loss.
12 Service Level and Support
Unless a separate SLA or support agreement is expressly provided in writing, ERPLax offers support and maintenance on a reasonable-effort basis.
Response times, issue resolution timelines, uptime commitments, and support coverage may vary depending on the service plan, scope of contract, issue type, working hours, and support terms agreed with the client.
Critical support, priority support, enterprise support, or guaranteed response commitments apply only where specifically included in writing.
13 Backups and Recovery
ERPLax may maintain periodic backups and recovery systems as part of its infrastructure and operational practices. However:
- Backup frequency and retention may vary by service plan or internal policy
- Backups are not guaranteed to be available for every event or every point in time
- Backup restoration may not always be immediate or possible in every scenario
Clients are strongly advised to maintain their own independent exports or backups of critical data wherever required.
ERPLax is not liable for loss of data caused by user error, third-party actions, malicious attacks, infrastructure failures, or events beyond reasonable control.
14 Third-Party Services and Integrations
ERPLax may connect or integrate with third-party products or services, including but not limited to payment gateways, SMS providers, email providers, WhatsApp providers, cloud hosting services, APIs, analytics tools, maps, accounting tools, or external platforms.
ERPLax is not responsible for:
- Availability, downtime, or errors of third-party services
- Pricing changes imposed by third-party providers
- Data loss or delays caused by third-party systems
- Changes in third-party API policies, limits, or functionality
- Security or privacy practices of third-party providers
Use of third-party services may also be subject to the separate terms and privacy policies of those providers.
15 Intellectual Property Rights
ERPLax, including its platform, software, source code, design, architecture, branding, layout, workflows, documentation, modules, and all related materials, is protected by intellectual property laws.
All rights, title, and interest in and to ERPLax remain exclusively with ERPLax.
Except for the limited right to use the platform during the service term, nothing in these Terms transfers any ownership rights to the client.
You may not:
- Copy, resell, sublicense, distribute, or commercially exploit the platform
- Modify, adapt, reverse engineer, decompile, or create derivative works from the software
- Remove any proprietary notices, branding, or legal notices
Customizations, modules, or deliverables developed specifically under a separate paid contract may be governed by the terms of that specific agreement.
16 Limited License
Subject to compliance with these Terms and payment of applicable fees, ERPLax grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your internal business operations only.
This license does not include any right to resell, redistribute, lease, white-label, sublicense, or provide access to unrelated third parties unless expressly agreed in writing.
17 Confidentiality
Both parties agree to treat confidential information received from the other party as confidential and not disclose it to unauthorized persons, except where disclosure is required:
- For performance of the services
- By law, regulation, or court order
- To professional advisors under confidentiality obligations
Confidential information does not include information that is already public, independently developed, or lawfully obtained from another source without breach of confidentiality.
18 Disclaimer of Warranties
ERPLax is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, ERPLax disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or uninterrupted operation.
ERPLax does not warrant that:
- The service will be uninterrupted, secure, or error-free
- The platform will meet every specific business requirement
- Reports, outputs, or calculations will always be fully accurate without user review
- Errors will always be corrected immediately
- The platform will be compatible with every third-party service or environment
19 Limitation of Liability
To the fullest extent permitted by law, ERPLax shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, data, or business interruption, arising out of or related to the use of or inability to use the platform.
In all cases, the total aggregate liability of ERPLax arising out of or related to these Terms or the services shall not exceed the total amount actually paid by the client to ERPLax for the service during the three months immediately preceding the event giving rise to the claim.
This limitation applies regardless of the legal theory and even if ERPLax has been advised of the possibility of such damages.
20 Indemnity
You agree to defend, indemnify, and hold harmless ERPLax from and against any claims, losses, damages, liabilities, costs, and expenses arising out of or related to:
- Your misuse of the platform
- Your breach of these Terms
- Your data, content, or records stored in the platform
- Violation of any law, regulation, or third-party rights
- Claims made by your customers, employees, vendors, or users arising from your use of the system
21 Suspension and Termination
ERPLax may suspend, restrict, or terminate access to the platform, with or without notice where reasonably necessary, including in cases involving:
- Non-payment
- Security risks
- Suspected fraud or abuse
- Violation of these Terms
- Legal or regulatory requirements
Upon termination:
- Your right to use the platform ends immediately
- Access to data may be disabled after a reasonable retention period
- ERPLax may delete or archive data according to internal policy, legal obligations, or applicable agreement
- Outstanding dues remain payable
Clients are advised to request and download required data before termination or expiry of service.
22 Force Majeure
ERPLax shall not be liable for any delay, interruption, or failure to perform resulting from causes beyond reasonable control, including natural disasters, war, terrorism, strikes, internet failures, utility outages, cyberattacks, government restrictions, pandemics, civil disturbances, or failure of third-party providers.
23 Modifications to the Platform
ERPLax may modify, update, enhance, discontinue, or replace features, modules, design elements, infrastructure components, workflows, or technical specifications of the platform at any time for reasons including performance, security, legal compliance, operational improvement, or product development.
Where reasonably practical, material changes affecting core service use may be communicated in advance.
24 Changes to These Terms
ERPLax may revise these Terms & Conditions at any time. Updated terms will become effective once published on the website or otherwise communicated.
Your continued use of the platform after such updates constitutes acceptance of the revised Terms.
25 Governing Law and Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of India.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.
